1. Acceptance of Terms

By accessing or using the FinCollabs platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not access or use the Platform.

FinCollabs ("Company," "we," "us," or "our") reserves the right to update these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

FinCollabs is an online marketplace platform that connects individuals seeking financial guidance ("Clients") with licensed and verified financial professionals ("Professionals"). The Platform facilitates:

• Discovery and search of financial professionals by specialty, location, and credentials
• Booking and scheduling of consultations (video, phone, or in-person)
• Secure messaging between Clients and Professionals
• A community Q&A forum for financial questions and answers
• Publication of educational financial articles and blog content
• Review and rating of professional services
• Secure payment processing for consultation fees

FinCollabs is a technology platform only. We do not provide financial, legal, tax, investment, or any other professional advice. All advisory services are provided solely by the independent Professionals on the Platform.

3. Eligibility & Account Registration

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Platform under applicable law
• Provide accurate, current, and complete information during registration

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us at support@fincollabs.com of any unauthorized use of your account.

You may not create multiple accounts, share your account with others, or transfer your account to another person without prior written consent from FinCollabs.

4. Professional Accounts

Professionals registering on the Platform represent and warrant that they:

• Hold valid and current professional licenses, certifications, or credentials as represented
• Are in good standing with all applicable regulatory bodies
• Have the legal right to provide the services offered
• Will maintain their licenses and credentials throughout their use of the Platform
• Comply with all applicable professional standards, regulations, and ethical obligations
• Will immediately notify FinCollabs of any disciplinary actions, license suspensions, or revocations

FinCollabs conducts verification of professional credentials to the best of our ability, but this verification does not constitute an endorsement or guarantee of any Professional's qualifications, competence, or suitability. Clients are solely responsible for their own due diligence before engaging any Professional.

Professionals must connect a Stripe account to receive payments and agree to Stripe's terms of service. Professionals are solely responsible for their tax obligations arising from their use of the Platform.

5. Client Accounts

As a Client, you acknowledge and agree that:

• Any information you share with a Professional is subject to that Professional's own confidentiality practices
• You are responsible for independently verifying the credentials and suitability of any Professional before engaging their services
• Consultations booked through the Platform are between you and the individual Professional; FinCollabs is not a party to that professional relationship
• Financial decisions made based on consultation outcomes are your sole responsibility

6. Bookings & Consultations

When you book a consultation through the Platform:

• A binding contract is formed between you (the Client) and the Professional for the agreed service
• FinCollabs facilitates the booking and payment but is not a party to the service contract
• Consultations may be conducted via video, phone, or in-person depending on the Professional's settings
• Both parties are expected to attend at the scheduled time and behave professionally
• FinCollabs is not liable for the quality, accuracy, or outcome of any consultation

If a Professional fails to attend a scheduled consultation without adequate notice, you are entitled to a full refund. Please contact support@fincollabs.com within 48 hours of the missed appointment.

7. Payments & Fees

All payments on the Platform are processed securely through Stripe. By making a payment, you also agree to Stripe's Terms of Service.

• Platform Fee: FinCollabs charges a 15% service fee on each completed transaction. This fee is deducted from the Professional's earnings.
• Billing: Clients are charged at the time of booking confirmation.
• Professional Payouts: Professionals receive 85% of the consultation fee, transferred to their Stripe account within 2 business days of a completed consultation.
• Taxes: Applicable taxes (VAT, GST, sales tax, etc.) may be added based on your location. Professionals are solely responsible for their own income tax obligations.
• Currency: All fees are displayed in USD unless otherwise specified. Your payment provider may apply conversion fees for non-USD transactions.

FinCollabs reserves the right to modify its fee structure with 30 days' prior notice to registered users.

8. Cancellations & Refunds

8.1 Client Cancellations

• More than 24 hours before: Full refund of the consultation fee.
• Within 24 hours: A cancellation fee of up to 50% of the consultation fee may apply, at the Professional's discretion.
• No-show (Client): No refund will be issued if a Client fails to attend without prior cancellation.

8.2 Professional Cancellations

• If a Professional cancels or fails to attend, the Client receives a full refund and may be offered priority rebooking.
• Repeated cancellations by Professionals may result in account suspension.

8.3 Refund Process

Refunds are processed back to the original payment method within 5–10 business days. To request a refund, contact support@fincollabs.com.

9. User Content

You retain ownership of any content you submit to the Platform, including questions, answers, reviews, blog articles, and profile information ("User Content").

By submitting User Content, you grant FinCollabs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and adapt your User Content for the purpose of operating and promoting the Platform.

You represent and warrant that:

• You own or have the rights to the content you submit
• Your content does not violate any third-party rights
• Your content complies with these Terms and applicable law
• Your professional content (Q&A answers, articles) complies with applicable regulatory standards

FinCollabs reserves the right to remove any User Content that violates these Terms, applicable regulations, or professional standards without prior notice.

10. Prohibited Conduct

You agree not to:

• Provide false, misleading, or inaccurate information in your profile or communications
• Impersonate any person, entity, or professional credential
• Engage in fraudulent, deceptive, or manipulative conduct
• Solicit Clients or Professionals outside the Platform to avoid service fees
• Harass, threaten, abuse, or discriminate against any user
• Post spam, unsolicited messages, or irrelevant promotional content
• Scrape, harvest, or collect user data without consent
• Reverse engineer, decompile, or attempt to access the Platform's source code
• Violate any applicable law or regulation, including financial services regulations
• Post content that infringes copyrights, trademarks, or other intellectual property rights
• Create a risk of harm, loss, or liability for FinCollabs or its users
• Use the Platform for money laundering, tax evasion, or any other illegal financial activities

Violations may result in immediate account suspension or termination, removal of content, and, where warranted, referral to appropriate authorities.

All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, icons, images, software, and design — are the exclusive property of FinCollabs or its licensors and are protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Platform's proprietary content without express written permission from FinCollabs.

The FinCollabs name, logo, and brand are trademarks of FinCollabs. Use of these marks without prior written consent is strictly prohibited.

13. Privacy & Data Protection

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

We are committed to protecting your personal data and comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area, and the California Consumer Privacy Act (CCPA) for California residents.

14. Third-Party Services

The Platform integrates with third-party services including:

• Stripe — payment processing (subject to Stripe's Terms of Service)
• Clerk — authentication and user management
• SendGrid — email communications
• Cloudinary — media storage and delivery
• Vercel — hosting and infrastructure

FinCollabs is not responsible for the practices, content, or availability of third-party services. Your use of such services is subject to their respective terms and privacy policies. The Platform may contain links to external websites; we are not responsible for their content or practices.

15. Disclaimers & Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, FINCOLLABS DISCLAIMS ALL WARRANTIES, INCLUDING:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT
• WARRANTIES REGARDING THE QUALIFICATIONS, CONDUCT, OR SERVICES OF ANY PROFESSIONAL

Some jurisdictions do not allow the exclusion of implied warranties; in such cases, these disclaimers apply to the fullest extent permitted by law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINCOLLABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR IN CONNECTION WITH:

• Your use or inability to use the Platform
• Any services provided by Professionals on the Platform
• Unauthorized access to or alteration of your data
• Financial losses resulting from advice obtained through the Platform
• Any bugs, viruses, or harmful components transmitted through the Platform

IN NO EVENT SHALL FINCOLLABS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FINCOLLABS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the limitation of liability for certain damages; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless FinCollabs and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you submit to the Platform.

18. Termination

FinCollabs reserves the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons:

• Violation of these Terms or any applicable law
• Fraudulent, deceptive, or harmful conduct
• Providing false or misleading information
• Repeated complaints from other users
• Non-payment of fees owed to FinCollabs
• At our sole discretion, for any reason that we determine poses a risk to the Platform or its users

You may terminate your account at any time by contacting support@fincollabs.com. Upon termination, your right to use the Platform ceases immediately. Pending transactions and outstanding payments will be processed according to these Terms.

Sections that by their nature should survive termination (including but not limited to Sections 9, 12, 15, 16, 17, and 19) will survive termination.

19. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FinCollabs is incorporated, without regard to its conflict of law provisions.

Dispute Resolution: Before filing a formal claim, you agree to first attempt to resolve any dispute informally by contacting us at legal@fincollabs.com. We will attempt to resolve the dispute within 30 days.

Arbitration: For unresolved disputes, you agree to binding arbitration on an individual basis, and waive any right to participate in class-action proceedings, except where prohibited by applicable law.

EU/UK Users: Nothing in these Terms limits your statutory rights under EU or UK consumer protection laws.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to registered users
• Display a prominent notice on the Platform

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree, you must stop using the Platform.
